RCS Studio - Subscription Terms & Conditions

These Subscription Termsand Conditions ("Agreement") govern your access to and use of the RCS Studio platform and messaging services ("Services"). By creating an account, selecting a subscription plan, or using the Services, you ("Customer,""User," or "you") agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
1. Account Registration & Trial Period
Customers may access RCS Studio to evaluate the platform's tools and features prior to committing to a paid subscription. Upon completing your evaluation, you may create a Stripe account to initiate payment and activate a subscription tier.
Trial Period: New subscribers are entitled to one (1) month of complimentary access to their selected subscription tier. No charges will be assessed during this trial period. Billing commences automatically at the conclusion of the trial month. Note that messaging capabilities are not available during the trial period; accordingly, no proration or partial-month billing adjustments will be made for the trial month.

3. Payment, Billing & Stripe
3.1 Payment Method
Payment is processed exclusively through Stripe. By subscribing, you authorize RCS Studio to charge your designated payment method (credit card or bank account on file with Stripe) on a recurring monthly basis.
3.2 Payment Method Retention
Important: Once subscribed, you may not remove your last remaining payment method from your Stripe account while an active subscription is in place. A valid payment method must remain on file at all times to ensure continuity of service.
3.3 Billing Cycle
Subscriptions are billed on a monthly basis. Billing begins automatically at the conclusion of the one-month trial period. There is no proration; all billing is at the full monthly rate. Customers are generally pre-billed for their subscription tier, with the exception of mid-cycle tier upgrades (see Section 4).
3.4 Provisioning Fees
In addition to the recurring subscription fee, customers are subject to the following pass-through fees:
● Aegis Platform Fee: $100 per year, billed annually. This is a pass-through fee for access to the Aegis messaging platform and will recur each year the account remains active.
● T-Mobile Agent Provisioning Fee: $500 per agent, charged once at the time of provisioning. This is a one-time pass-through fee assessed per agent spun up on the account. Starter tier customers (1 agent) are assessed $500; Growth tier customers (3 agents) are assessed $1,500 at provisioning.
By way of example, a Growth tier customer activating three agents in their first year will incur $1,600 in pass-through fees: $100 (Aegis, annual) and $1,500 (T-Mobile, $500 ×3 agents, one-time). All provisioning fees are non-refundable.
4. Monthly Active Users (MAU) & Tier Upgrades
4.1 MAU Definition
A "Monthly Active User" (MAU) is defined as any unique end-user who sends or receives at least one RCS message through your account within a given calendar month.
4.2 MAU Cap & Automatic Upgrade
Each subscription tier includes a maximum MAU cap as specified in Section 2. Should your account exceed the MAU cap for your current tier (e.g., exceeding 1,000 MAUs on theStarter tier), your account will be manually upgraded to the Growth tier for that billing cycle.
No MAU overage charges will be assessed. The upgrade is handled administratively by RCS Studio; the Customer will be billed the Growth tier rate for the applicable month.
4.3 No MAU Overage Charges
RCS Studio does not charge per-MAU overage fees. Exceeding your tier's MAU cap results solely in a tier upgrade as described above.
5. Message Limits, Overages & Account Suspension
5.1 Starter Tier — Message Overage
Starter tier accounts are allotted 15,000 messages per month. Should a Starter account exceed 15,000 messages within a billing cycle, the account will be manually upgraded to the Growth tier for that month. Standard Growth tier pricing applies. No message overage charges are billed independently on the Starter tier.
5.2 Growth Tier — Carrier Fee Pass-Through
Growth tier accounts are allotted 50,000 messages per month. Upon exceeding 50,000 messages in a billing month, additional messages will be billed at a blended carrier pass-through rate. This rate reflects actual carrier costs incurred by RCS Studio on your behalf and will be itemized on your monthly invoice.
Note: RCS Studio does not assess a per-message fee for messages 1 through 50,000. The carrier pass-through rate applies only to messages exceeding the 50,000-message threshold. The blended rate is calculated based on the applicable carrier mix and is subject to change with prior notice.
5.3 Account Suspension for Excess Messages
If message volume exceeds applicable thresholds and results in non-payment or billing failure, RCS Studio reserves the right to suspend the account in accordance with its standard account suspension policy until outstanding balances are resolved.
6. Verification & Compliance
All self-service subscribers are subject to the same identity verification and compliance standards applied to enterprise customers. This includes, but is not limited to:
● Business identity verification
● RCS brand registration and approval
● Carrier compliance and messaging policy adherence
● Any additional verification required by Aegis, T-Mobile, or applicable regulatory bodies
Failure to meet ormaintain verification standards may result in suspension or termination of the account.
7. End User License Agreement (EULA)
Use of the RCS Studio platform is further governed by the applicable End User License Agreement("EULA"). The EULA is incorporated herein by reference. In the event of a conflict between the EULA and these Terms and Conditions, these Terms and Conditions shall control with respect to billing, subscription, and payment matters; the EULA shall control with respect to software licensing and intellectual property matters.
8. Modifications to Plans & Pricing
RCS Studio reserves theright to modify subscription pricing, tier features, MAU caps, message limits, and carrier pass-through rates. Customers will receive at least thirty (30) days' advance written notice of material changes. Continued use of the Services after the effective date of such changes constitutes acceptance of the revised terms.
9. Cancellation & Termination
Customers may cancel their subscription at any time. Cancellation takes effect at the end of the current billing month; no partial-month refunds are issued. Upon cancellation, access to the Services will remain active through the end of the paid period. RCS Studio reserves the right to terminate accounts that violate these Terms, the EULA, or applicable carrier policies.

By activating a subscription, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
